Using or accessing the Website indicates that you accept the Terms and Conditions including those additional terms and conditions and policies referred to herein such as the Privacy Policy. If you do not agree to all the Terms and Conditions, please do not use the Website.

YOUR STATUS

​

In order to place an order with Niluferfragrances.com you must (i) be over 18 (eighteen) years of age and (ii) possess a valid credit or debit card issued by a bank acceptable to Niluferfragrances.com.

THE CONTRACT BETWEEN YOU AND NILUFERFRAGRANCES.COM

​

Your online order will constitute your offer to Niluferfragrances.com to buy the ordered Product(s).  Your order will be subject to availability and contract.

 

The contract between you and Niluferfragrances.com (Contract) will only be formed when Niluferfragrances.com will send you an e-mail confirming that it is getting the ordered Product(s) ready to be shipped (the Order Confirmation) and your credit or debit card will have been successfully debited. Niluferfragrances.com will not process your order until it will have received your payment in full.

 

You agree that the Contract is a so-called shipment contract pursuant to which the risk of loss and title for the purchased Product(s) will pass to you upon Niluferfragrances.com delivery of these Product(s) to the carrier.

 

Niluferfragrances.com is entitled to refuse any order placed by you for any reason at any time.

PRICE AND PAYMENT

​

The price payable for the Product(s) will be as shown on the Website. These prices include Singapore GST but exclude delivery charges. The delivery charges are shown separately when ordering and must also be paid in advance.

 

Payment shall be made by you by the means specified on the Website and shall not be deemed to be made until Niluferfragrances.com has received cleared funds in respect of the full amount stated in the order.

 

Prices are subject to change without notice but changes will not affect orders that Niluferfragrances.com has already accepted.​​

NILUFERFRAGRANCES.COM LIABILITY

​

If Niluferfragrances.com does not deliver or if the Products delivered are not what you ordered or are damaged or defective or the delivery is of an incorrect quantity, Niluferfragrances.com is not obligated to:

​

• make good any shortage or non-delivery or incorrect delivery; or

• replace or repair any Product that is damaged or defective; or

• refund to you the amount paid by you for the Product in question upon return of such Product.

 

Niluferfragrances.com shall have no liability to you for any consequential, special or indirect losses including without limit, loss of revenues, profits, contracts, business or anticipated savings, damage to or loss of goodwill, reputation or data.

 

Without prejudice to the foregoing, Niluferfragrances.com total aggregate liability to you under and/or arising in relation to the Contract shall not exceed the amount paid by you for the relevant Product plus your shipping costs, if any.

 

Nothing in this Contract shall exclude or limit Niluferfragrances.com liability which is not permitted to be excluded or limited as a matter of law, in particular the Unfair Contract Terms Act.

 

A person who is not a party to this Contract has no right under the Contracts (Rights of Third Parties) Act to enforce any term of the Contract.​​

INDEMNITY

​

You agree to indemnify, defend and hold harmless Niluferfragrances.com, its directors, officers, employees, consultants, agent and affiliates from any and all third party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from, without limitation, your breach of the Terms and Conditions, your infringement of any of Niluferfragrances.com intellectual property rights.​​​

TRANSFER OF RIGHTS AND OBLIGATIONS

 

You may not transfer, assign, charge or otherwise dispose of the Contract or any of your rights and obligations arising under it, without Niluferfragrances.com prior written consent.

 

Niluferfragrances.com may transfer, assign, charge, sub-contract or otherwise dispose of the Contract, or any of its rights or obligations arising under it.

EVENTS OUTSIDE NILUFERFRAGRANCES.COM COUNTROL

 

Niluferfragrances.com will not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under a Contract that is caused by events outside Niluferfragrances.com reasonable control (Force Majeure Event).

 

A Force Majeure Event includes any act, event, non-happening, omission or accident beyond Niluferfragrances.com reasonable control and includes in particular (without limitation) the following: strikes, lock-outs or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war or threat or preparation of war; fire, explosion, storm, flood, earthquake, epidemic or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; the acts, decrees, legislation, regulations or restrictions of any government

 

Niluferfragrances.com performance under a Contract is deemed to be suspended for the period that the Force Majeure Event continues, and Niluferfragrances.com will have an extension of time for performance for the duration of that period. Niluferfragrances.com will use its reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which its obligations under the Contract may be performed despite the Force Majeure Event.

WAIVER

​

If Niluferfragrances.com fails, at any time during the term of the Contract, to insist upon strict performance of any of your obligations under the Contract or any of the Terms and Conditions or if it fails to exercise any of the rights or remedies to which Niluferfragrances.com is entitled under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.

 

A waiver by Niluferfragrances.com of any default shall not constitute a waiver of any subsequent default.

 

No waiver by Niluferfragrances.com of any of the Terms and Conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with clause 10 above.

SEVERABILITY

​

If any of the Terms and Conditions or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law. Alternatively, you agree that the clause shall be rectified and interpreted in such a way that closely resembles the original meaning of the clause/sub-clause as is permitted by law.

ENTIRE AGREEMENT

​

The Terms and Conditions and any document referred to in them represent the entire agreement between you and Niluferfragrances.com in the subject matter of the Contract and supersede any prior agreement, understanding or arrangement between you and Niluferfragrances.com, whether oral or in writing.

NILUFERFRAGRANCES.COM RIGHT TO VARY THIS TERMS AND CONDITIONS

​

Niluferfragrances.com has the right to revise and amend the Terms and Conditions from time to time to reflect changes in market conditions affecting Niluferfragrances.com business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements or for any other reason in Niluferfragrances.com sole discretion.

 

You will be subjected to the policies and Terms and Conditions in force at the time that you order products from Niluferfragrances.com, unless any change to those policies or the Terms and Conditions is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you), of if Niluferfragrances.com notifies you of the change to those policies or the Terms and Conditions before Niluferfragrances.com sends you the Order Confirmation (in which case Niluferfragrances.com has the right to assume that you have accepted the change to the Terms and Conditions, unless you notify us to the contrary within seven working days of receipt by of the Products).

LAW AND JURISDICTION

​

The Contract and the Terms and Conditions are to be governed and construed in accordance with the laws of the Republic of Singapore and irrespective of your place of residence or domicile, in the event of any dispute associated with the Contract and the Terms and Conditions, that dispute shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Singapore.
